Terms of Service

1. Acceptance of Terms

By accessing or using gridvynt.com and the Gridvynt platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Gridvynt provides software-as-a-service for renewable energy production forecasting, grid reserve balancing, and related analytics. Access to platform features may require a separate subscription agreement.

3. Account Registration

To access certain features of the Service you must register for an account. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations;
• Attempt to gain unauthorized access to any part of the Service or related systems;
• Reverse-engineer, disassemble, or decompile any component of the Service;
• Reproduce, redistribute, or resell Service outputs to third parties without a written license from Gridvynt;
• Introduce malicious code, excessive load, or automated scraping without prior written consent;
• Misrepresent your identity or affiliation.

5. Intellectual Property

All content, software, algorithms, models, and materials comprising the Service are owned by Gridvynt or its licensors and are protected by US and international intellectual property laws. These Terms do not grant you any ownership right in the Service. You retain ownership of data you submit to the Service; by submitting it you grant Gridvynt a limited license to process that data to provide the Service.

6. Confidentiality

Each party agrees to keep the other party's non-public business information confidential, using at least reasonable care, and not to disclose it to third parties without prior written consent. Forecast model architecture, accuracy metrics shared under NDA, and customer asset data are deemed confidential. This obligation survives termination for three years.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. GRIDVYNT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT FORECASTS WILL BE ACCURATE. FORECAST OUTPUTS ARE PROBABILISTIC ESTIMATES AND NOT GUARANTEES OF GENERATION OR GRID CONDITIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRIDVYNT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles.

Any dispute arising from these Terms shall first be submitted to informal resolution by written notice. If unresolved after 30 days, disputes shall be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Colorado, USA. The arbitrator may award any remedy available at law or equity. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS, NOT AS A CLASS OR REPRESENTATIVE ACTION.

10. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the public. Upon termination, the provisions of Sections 5–9 shall survive.

11. Changes to Terms

We may revise these Terms from time to time. Material changes will be indicated by a new "Last updated" date. Continued use of the Service following notice of revised Terms constitutes acceptance. If you do not agree to the revised Terms, stop using the Service.
